What does changing your company name actually involve?

Changing your company name is more than picking a new one. It requires a formal resolution - either by the directors alone or by a shareholder vote - followed by the correct form being filed with Companies House. Get the process wrong and the change simply won't be registered.

There are two routes depending on how your company is set up. If your Articles of Association allow directors to change the name without shareholder approval, you file form NM04. If a shareholder vote is required, at least 75% must approve the change and form NM01 must be filed within 15 days of the resolution.

How do I change my company name in the UK?

Companies House will reject names that are identical or too similar to an existing registered name, contain words suggesting a connection to government or royalty without approval, include regulated terms such as "bank", "insurance", or "chartered" without the relevant authorisation, or are considered offensive. Do I need to notify HMRC when I change my company name?

Yes. Once Companies House has approved the name change, you should notify HMRC using your company's Corporation Tax UTR. HMRC does not automatically update its records when a company name changes at Companies House. You should also update your VAT registration, payroll records, and any other HMRC registrations.

Can I still trade under my old company name while the change is being processed?

Yes. Your existing company name remains valid and you can continue to trade under it until Companies House confirms the name change and issues your certificate. Once the certificate is issued, the old name is no longer your registered company name and should be updated on all business documentation.

What documents do I receive after a company name change?

Once Companies House approves the name change, you receive a certificate of incorporation on change of name, which is the official confirmation of your new company name.
