What is a company secretary?

A company secretary canbe appointed to take on some of the directors’ responsibilities, such as maintaining and filing statutory registers and company records. They do not have the same level of responsibility as a director.

Who can be a company secretary?

Any individual or company can be a company secretary. A company secretary cannot be the company auditor or an undischarged bankrupt.

Must a company secretary hold any qualifications or have any experience?

No, not in a Private Limited Company

Does a private limited company need a company secretary?

No, unless the rules of the company itself require one in its Articles of Association. Our formation package articles do not require one.

Can a director also be the company secretary?

Yes, but there would be no practical benefit if a Company Secretary is not required.

Why would a company have a company secretary?

We see no practical benefit unless the directors wish to delegate responsibility without that person being appointed as a director themselves.
